Terms of Service

Effective date: March 1, 2026

These Terms of Service ("Terms") govern your access to and use of Conduit ("Service"), a Monday.com marketplace application developed and operated by Conduit ("we", "us", or "our"). By installing or using the Service, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

1. Description of Service

Conduit is a Monday.com marketplace application that connects your Monday.com boards to external databases (PostgreSQL, MySQL/MariaDB, and MongoDB) and synchronises data between them according to configurations you define. The Service includes:

• A setup wizard for creating and managing sync configurations
• Scheduled, real-time, and manual sync modes
• Column-level mapping and data transformation
• Sync logs and usage reporting

2. Account and Access

2.1 Monday.com Account

Access to the Service is granted via your Monday.com account through OAuth 2.0 authorisation. You must have a valid, active Monday.com account to use the Service.

2.2 Account Responsibility

You are responsible for:

• Maintaining the security of your Monday.com account
• All activity that occurs under your account
• Ensuring that your use of the Service complies with all applicable laws and the Monday.com platform terms

2.3 Organisational Accounts

If multiple users within your Monday.com organisation use the Service, the organisation's account is a single account. Database connections and sync configurations are shared within the organisation's account.

3. Plans and Payment

3.1 Plans

The Service is offered under several plans (Free, Starter, Pro, and Enterprise) with differing feature sets and usage limits as described on our pricing page. By subscribing to a paid plan through the Monday.com marketplace, you agree to the applicable fees.

3.2 Billing

Billing for paid plans is handled by Monday.com's marketplace billing infrastructure. We do not directly collect or store payment card information. Refund policies are subject to Monday.com's marketplace terms.

3.3 Plan Changes

We reserve the right to modify plan pricing and features with reasonable notice. If you do not agree to a change, you may cancel your subscription before the change takes effect.

3.4 Usage Limits

Each plan includes limits on the number of sync operations, database connections, and boards. If you exceed these limits, sync operations may be paused or queued until the next reset period. We will notify you within the application when you approach or reach a limit.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit any malicious code, viruses, or disruptive data
• Attempt to gain unauthorised access to our systems or those of third parties
• Resell or sublicense the Service without our written permission
• Use the Service in a way that disrupts or degrades performance for other users

5. Your Data

5.1 Ownership

You retain full ownership of your Monday.com data and the data in your connected databases. We do not claim any ownership over your data.

5.2 Licence to Operate

By using the Service, you grant us a limited, non-exclusive licence to access, process, and transmit your data solely as necessary to provide the Service — specifically to read data from Monday.com and write it to your configured database (and vice versa where bidirectional sync is enabled).

5.3 Data Responsibility

You are responsible for ensuring that your use of the Service complies with any data protection obligations applicable to your business (including GDPR, CCPA, or other applicable regulations) with respect to the data you sync.

5.4 Database Credentials

You are responsible for providing database credentials that have only the minimum permissions required by the Service. We recommend creating a dedicated database user for Conduit. See our User Guide for recommended permissions.

6. Intellectual Property

The Service, including its software, design, and documentation, is owned by Conduit and protected by intellectual property laws. These Terms do not transfer any intellectual property rights to you. You may not copy, modify, reverse engineer, or create derivative works of the Service.

7. Third-Party Services

The Service integrates with Monday.com and connects to databases you specify. Your use of Monday.com is subject to Monday.com's own terms of service and privacy policy. We are not responsible for the availability or behaviour of third-party services.

8. Uptime and Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure issues, or circumstances beyond our control. We will endeavour to give advance notice of planned maintenance where possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, that syncs will complete without data loss, or that the Service will meet your specific requirements.
• In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, however caused.
• Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or USD $100 if you are on a free plan.

10. Indemnification

You agree to indemnify and hold harmless Conduit and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Termination

11.1 By You

You may terminate your use of the Service at any time by uninstalling the Conduit app from your Monday.com account. This will trigger deletion of your account data as described in our Privacy Policy.

11.2 By Us

We may suspend or terminate your access to the Service if:

• You violate these Terms
• We are required to do so by law
• We discontinue the Service

We will provide reasonable notice where practicable, except where termination is due to a legal requirement or a serious violation.

11.3 Effect of Termination

Upon termination, your licence to use the Service ends immediately. Data deletion follows the retention periods described in our Privacy Policy.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.

13. Changes to These Terms

We may modify these Terms from time to time. We will update the effective date at the top of this page and, for material changes, notify you within the application or by email. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
